APEX does not arrange for business loans or help raise money to repay loans.

Investors and funds are looking for companies that are in the agriculture, blockchain, cloud, big data, renewable energy, rare earth, education, entertainment, financial, food & beverage, green, healthcare, IOT, e-mobility, real estate, services and high-repeat businesses.

APEX sponsors ONLY revenue generating and more so profitable companies that need MORE funds to fulfil orders for market penetration and expansion.

Companies can start off to raise as little as $1 million and upon achieving a higher level of valuation can continue to raise incrementally up to $75 million before uplisting to an IPO via a direct listing submission to the Nasdaq or NYSE.

Astute investors are looking at investing in companies that are growing rapidly fulfilling market needs with their unique selling propositions. These companies run on a positive cash flow model and clock in impressive return on sales and high return on investments.

What the investors would like to know is how the proceeds will be deployed to generate better returns, to secure more revenue and to strengthen the company’s standing.

What do you give the investors in return?

Companies can offer Preferred Equity or Convertible Notes to raise funds.

For Preferred Equity, the pre-money valuation and preference dividend are needed.

For convertible notes, the valuation, conversion price, interest rate and tenure are needed.

The ideal way is for the investors to convert these instruments into the company’s shares when she goes public. Then, there is no more obligation for the company to use cash to redeem these instruments when they mature - saving the cash for the company to use.

Companies need to help investors to make a good return on their investment.

For example, a company raised $1 million with a 3-year convertible note with a conversion price of $1 per share. 2 years later, the company is listed on the stock exchange and the share price is $5. The note holder can choose to convert his note for 1 million shares and sell it in the market for $5 million resulting in a gain of $4 million for a 2 year investment.

What Due Diligence Is Needed?

APEX does not conduct independent due diligence. An independent party is to conduct the necessary due diligence to review and verify the company’s legal and financial standing.

For those companies raising more than $5 million, the due diligence will cover in-depth analysis of the business, team, product/service, market, and other key investment factors.

When to launch the raise?

Upon satisfaction of the due diligence, the Offer Memo and Pitch Deck will be listed on APEX for the investors’ study. To get more eyeballs to your raise, you may also want to run promos, vlogs, blogs, highlights on various investors’ social media. Bearing in mind, you are to comply with the various SEC rules like 506(b) and 506(c).

APEX will onboard your fundraise and set up the online offering that includes verification of the content of the Offer Memo and Pitch Deck; getting ready investment agreements, escrows and holdings; issuance of receipt and the disbursement of the funds raised to the company and APEX for the successful placement fees.
